Terms of Service

1. About these terms

These terms govern your subscription to UIE Systems — the institutional platform operated by UIE Group. By completing checkout on uiesystems.com you accept these terms on behalf of the organisation named at signup.

2. The service

UIE Systems delivers Q — UIE's operating intelligence — to your organisation under one of the institutional tiers (Pilot, Foundation, Operational, Strategic, Sovereign). Q operates continuously against the world model it builds for your engagement: producing audits, briefings, and proactive notifications across the workflows defined by your tier. Tier scope and entitlements are published at uiesystems.com/public/tiers.

3. Subscription and account

Each subscription provisions a tenant on the UIE Systems platform: a dedicated organisation record, an owner account for the principal email you provided at checkout, and an entry audit against the primary URL you supplied.

Subscriptions renew automatically at the published rate for your tier and interval (monthly or annual) until cancelled. You may cancel at any time; see the Refund Policy for the effect of cancellation on billing.

4. Pricing and payment

Tier prices are listed at uiesystems.com/public/tiers and are fixed at the rate published when your subscription starts. Price changes apply from your next renewal and we will notify you by email at least 30 days in advance of any change. Payments are processed by Stripe. We do not store card details ourselves.

5. Acceptable use

You agree not to use Q for unlawful purposes, not to attempt to extract or replicate Q's underlying system, not to misrepresent Q's outputs as a regulated professional opinion (legal, medical, financial advice), and not to submit content you have no right to share. UIE may suspend service for material breach with seven days' notice in writing, or immediately where required by law.

6. Intellectual property

Outputs Q produces specifically for your engagement — audits, briefings, world-model artifacts, chat responses — are licensed to your organisation for internal use. Q's underlying system (prompts, agent architecture, operational doctrine, training context) and the platform itself remain UIE Group's intellectual property.

7. Confidentiality

Information you share with Q in the course of your engagement is treated as confidential to your organisation. Q uses your data to maintain your world model and to deliver the service. We do not share your data with other clients. Aggregated, anonymised patterns may be used to improve Q's general capability.

8. Liability

Q's outputs are intelligence inputs to your decisions, not a substitute for professional judgement. We provide the service on an "as is" basis and exclude implied warranties to the extent permitted by law. Our total liability to you under these terms in any 12-month period is limited to the fees you have paid us in that period. Nothing in these terms limits liability that cannot be limited by law (such as fraud or death or personal injury caused by negligence).

9. Termination

You may cancel your subscription at any time. We may terminate for material breach (with seven days' written notice and the opportunity to remedy) or for non-payment after 14 days' notice. On termination we will retain your data as required by law and our retention schedule; see the Privacy Notice.

10. Changes to these terms

We may update these terms from time to time. Material changes will be notified to your principal email at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance.

11. Governing law

These terms are governed by the laws of England and Wales. The courts of London have exclusive jurisdiction over any dispute arising from these terms or your use of the service.
